Terms of Service
The master agreement governing your access to Zantras APIs and hosted user-flows. Read these terms carefully before integrating with the Platform.
1.Agreement#
These Terms of Service ("Terms") form a binding agreement between SIMAYU SOLUTIONS PRIVATE LIMITED, an Indian private limited company operating under the brand "Zantras" ("Zantras", "we", "us"), and the entity that creates an account on enterprise.zantras.com, signs an order form, or uses any Zantras API ("Customer", "you"). By creating an account, generating an API key, or making an API call, you accept these Terms on behalf of your organisation.
These Terms are an electronic record under the Information Technology Act, 2000, and Section 10A of that Act confirms their validity as a contract. No physical signature is required.
2.Services#
The Platform makes the following services available, each as further described in the API documentation:
- Face Authentication — face liveness detection (AWS Rekognition Face Liveness) and 1:1 face comparison.
- Aadhaar OCR — optical character recognition on Aadhaar front and back images uploaded by you. (See the Aadhaar boundary in our Privacy Policy §4.)
- PAN OCR — optical character recognition on PAN card images.
- Driving Licence OCR — optical character recognition on Indian driving-licence images.
- Video KYC — hosted user-flow combining liveness detection and document capture.
3.Customer Eligibility & Responsibilities#
- You represent and warrant that you are a lawfully registered entity, authorised to enter into this agreement, and not on any sanctions list applicable to India.
- You will use the Platform only for lawful purposes consistent with the Acceptable Use Policy.
- You are the Data Fiduciary for personal data of your end-customers and are responsible for the lawful basis (notice, consent) under which you collect that data.
- You will not reverse-engineer, decompile, or attempt to derive the source code of the Platform.
- You will keep your API credentials confidential and rotate them promptly if compromised.
4.Fees, Billing & Taxes#
Unless otherwise agreed in an order form, fees are calculated on a usage basis (per successful API call) at the rates published on zantras.com/pricing or in your order form. A "successful API call" is any call returning an HTTP 2xx response.
- Invoices are issued monthly in arrears and payable within 15 days of issue.
- Overdue amounts accrue interest at 1.5% per month until paid.
- All fees are exclusive of GST and any other applicable taxes, which you are responsible to pay.
- Pre-paid credits, where offered, are non-refundable except as set out in our Refund & Cancellation Policy.
5.Service-Level Commitment#
We will use commercially reasonable efforts to maintain monthly Platform uptime of at least 99.5%, calculated as:
Uptime = (Total minutes in month − Downtime minutes) / Total minutes in month × 100
"Downtime" excludes: (a) scheduled maintenance announced ≥ 72 hours in advance; (b) upstream failures of AWS Rekognition or AWS Textract; (c) Customer-induced outages; and (d) force majeure events.

Service credits are your sole and exclusive remedy for any failure to meet the uptime commitment. Claims must be submitted within 30 days of the affected month.
6.Intellectual Property#
Zantras retains all right, title, and interest in the Platform, including the APIs, hosted flows, SDKs, documentation, and all derivative works. You retain all right, title, and interest in the personal data of your end-customers and any output produced by your use of the Platform that relates to those end-customers.
You grant Zantras a non-exclusive, royalty-free, worldwide licence to process Customer-submitted data solely as needed to provide the Platform and to comply with applicable law.
7.Limitation of Liability#
8.Indemnification#
You will defend, indemnify, and hold harmless Zantras from any third-party claim arising out of (a) your violation of these Terms or the Acceptable Use Policy; (b) your unlawful collection of personal data from end-customers; (c) infringement by you of any third-party right; or (d) your non-compliance with applicable Indian or foreign law in connection with your use of the Platform.
9.Suspension#
We may suspend your access immediately and without prior notice if:
- your account is more than 15 days overdue;
- we reasonably believe your use of the Platform violates the Acceptable Use Policy or applicable law;
- your use poses a security risk to the Platform or other customers;
- a regulator, court, or law-enforcement agency requires suspension.
10.Term & Termination#
- These Terms commence on your acceptance and continue until terminated.
- Either party may terminate for convenience on 30 days' written notice.
- Either party may terminate immediately for material breach not cured within 30 days of written notice.
- On termination, your right to use the Platform ceases. You may export your data for 30 days; thereafter Zantras deletes Customer data within 60 days, subject to the retention obligations in the Privacy Policy.
11.Confidentiality#
Each party will protect the other's Confidential Information with at least the same degree of care it uses for its own confidential information, and in no event less than reasonable care. "Confidential Information" excludes information that is or becomes public through no fault of the receiver, was independently developed, or is required to be disclosed by law.
12.Force Majeure#
Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, civil unrest, government action, internet or AWS regional outages, and natural disasters.
13.Governing Law & Jurisdiction#
These Terms are governed by the laws of India. The parties submit to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
Any dispute exceeding ₹10,00,000 (INR ten lakh) in claim value will be referred to and finally resolved by arbitration administered by the Mumbai Centre for International Arbitration (MCIA) in accordance with the MCIA Rules. The seat of arbitration is Mumbai, the language is English, and the tribunal shall consist of one arbitrator.
14.Changes to these Terms#
We may amend these Terms on 30 days' prior notice for material changes. Your continued use of the Platform after the change takes effect constitutes acceptance. If you do not accept the change, your sole remedy is to terminate before the change takes effect.
15.General#
- Entire agreement. These Terms (together with any order form, the DPA, and the Acceptable Use Policy) constitute the entire agreement between the parties.
- Severability. If any provision is held unenforceable, the remainder remains in effect.
- Assignment. You may not assign these Terms without our prior written consent. Zantras may assign in connection with a merger or sale of all or substantially all of its assets.
- No waiver. A failure to enforce any provision is not a waiver of that or any other provision.
